Privacy Policy

Effective Date: October 11, 2026 · Last Updated: October 17, 2026

1Who We Are

GoverIQ is operated by GoverIQ (OPC) Private Limited, a company incorporated in India with its registered office in Visakhapatnam, Andhra Pradesh, India (CIN: U63119AP2026OPC128441). In this Policy, "GoverIQ", "we", "us", and "our" mean GoverIQ (OPC) Private Limited.

GoverIQ is an Identity Governance and Administration platform. It helps organisations manage identity lifecycle, access requests and approvals, certifications, Segregation of Duties checks, risk, policies, integrations, workflows, and audit evidence.

2Scope

This Policy explains how we collect, use, share, and protect personal data when you visit www.goveriq.com, contact us, or use the GoverIQ platform, and when our customers connect their systems to it.

It does not cover third-party websites, applications, or systems that we do not own or control, even if they are connected to GoverIQ.

3Our Role: Controller or Processor

For data that our customers put into or connect to the platform ("Customer Data"), the customer decides what is processed and why. The customer is the controller (or Data Fiduciary under Indian law) and GoverIQ is the processor (or Data Processor), acting only on the customer's documented instructions under the customer agreement and any data processing agreement.

For website enquiries, demo requests, billing, and our own business contacts, GoverIQ is the controller (or Data Fiduciary).

If you are an employee or user of one of our customers, please contact your organisation first about your data. We will assist them in responding to you.

4Data We Collect

4.1Website and Enquiries

When you contact us or book a demo, we collect only what you submit, such as your name, business email, company name, and message.

When you sign up for a trial, we collect your name, job title, business email, mobile contact number, company details, and the systems you want to connect. We verify the business email with a one-time code and record the sign-up IP address to prevent abuse. We use these details to run the trial and to contact you about it. We keep them as a business contact record after the trial workspace is deleted; you can ask us to delete them at any time at queries@goveriq.com.

The GoverIQ website sets no cookies and runs no advertising or third-party tracking scripts. It stores your light or dark theme choice and your privacy choice in your browser's local storage, which never leaves your device. If you opt in to anonymous analytics, the website sends GoverIQ a count of conversion events, such as starting a trial or requesting a demo, with the page path only and no identifiers. You can withdraw that consent at any time under Cookie preferences in the website footer.

4.2Platform Account Data

Name, business email, job title, department, manager, organisation, role and permissions inside GoverIQ, identity provider metadata, multi-factor authentication settings, and user preferences.

4.3Identity Governance Data (Customer Data)

Depending on what the customer connects and configures, this may include user IDs, usernames, email addresses, display names, department, location, cost centre, manager, employment status, accounts, roles, groups, permissions, entitlements, access requests, business justifications, approval and certification decisions, SoD conflicts, risk scores, policy violations, remediation records, and audit logs.

4.4Integration and Credential Data

Connector configuration, endpoint URLs, field mappings, sync and provisioning status, and error logs. Where customers provide API credentials, tokens, certificates, or keys, we store them encrypted with AES-256-GCM. Access to them is restricted and logged, and they are used only to perform the integrations the customer configures.

4.5Security and Log Data

Sign-in events, IP address, device and browser details, authentication outcomes, API access logs, security alerts, and audit trail records.

5How We Use Data

We use personal data to:

  • provide, operate, and secure the platform;
  • authenticate users and enforce access controls;
  • run the workflows, provisioning, and governance processes the customer configures;
  • generate audit evidence and reports;
  • detect, investigate, and prevent fraud, abuse, and security incidents;
  • provide support and respond to enquiries;
  • maintain and improve the reliability and performance of the service;
  • comply with legal obligations and enforce our agreements.

We process Customer Data only to provide the service to that customer, and never for our own unrelated purposes.

6Legal Basis

Where the law requires a legal basis, we rely on: performance of a contract; our legitimate interests in operating and securing a business service, balanced against your rights; compliance with legal obligations; your consent, where we ask for it; and, for Customer Data, the customer's instructions.

Under India's Digital Personal Data Protection Act, 2023, the customer as Data Fiduciary is responsible for having a valid basis, including notice and consent where required, for the personal data it processes through GoverIQ.

7What We Do Not Do

  • We do not sell personal data or Customer Data.
  • We do not use Customer Data for advertising or profiling unrelated to the service.
  • We do not use Customer Data to train AI models for other customers or for our own general-purpose models.
  • We do not access Customer Data except to provide the service, provide support the customer requests, maintain security, or comply with law.

8Sharing and Subprocessors

We share personal data only with:

  • subprocessors that help us run the service, such as hosting, database, email delivery, SMS verification, and AI model providers, bound by written terms at least as protective as this Policy;
  • professional advisers under a duty of confidentiality;
  • a buyer or successor in a merger, acquisition, or sale of assets, subject to this Policy;
  • authorities, courts, or regulators where required by law, after checking that the request is valid and, where lawful, telling the affected customer.

A current list of subprocessors is available on request from queries@goveriq.com. Where required by contract, we give notice before adding or replacing a subprocessor that processes Customer Data.

9International Transfers

Data may be processed outside the country where you or the customer are located. Transfers out of India follow the Digital Personal Data Protection Act, 2023 and any restrictions notified under it. For data from the EU, EEA, or UK, we use lawful transfer mechanisms such as standard contractual clauses. Customers may request a specific hosting region or a dedicated deployment, subject to availability and the customer agreement.

10Retention

We keep personal data only as long as needed for the purposes in this Policy, our agreements, and the law:

  • Customer Data: for the term of the customer agreement, then exported or deleted as set out in the Terms of Service.
  • Audit and security logs: as long as the customer's configuration or the law requires, including at least 180 days for system logs where Indian CERT-In directions apply.
  • Website enquiries: up to 24 months after our last contact, unless a business relationship continues.
  • Billing records: as long as tax and accounting laws require.

11Security

We use technical and organisational measures appropriate to an enterprise service, including encryption in transit and at rest, AES-256-GCM encryption for stored credentials, row-level tenant isolation, role-based and least-privilege access, multi-factor authentication, audit logging, monitoring, backups, and environment separation.

No system is completely secure, and we cannot guarantee that unauthorised access will never occur. Security is shared: customers are responsible for their users, credentials, identity provider, connected systems, and configuration.

12Personal Data Breaches

If we confirm a breach affecting Customer Data, we will notify the affected customer without undue delay and within any period required by law or contract, with the information reasonably available to help the customer meet its own obligations. We report incidents to authorities, including CERT-In and the Data Protection Board of India, where the law requires us to.

13AI and Automation

GoverIQ offers AI-assisted features, such as risk explanations, certification hints, role insights, and agents that customers configure. These outputs support human decisions. They are not the sole basis for decisions with legal or similarly significant effects on individuals, and customers are responsible for human review. Agents act only within the permissions the customer grants them, and their actions are recorded in the audit trail.

14Cookies

The GoverIQ website sets no cookies; with your consent it records anonymous conversion events without cookies. The platform uses a small number of cookies, almost all strictly necessary for sign-in and security. See our Cookie Statement for the full list.

15Your Rights

Depending on where you live, you may have the right to access, correct, complete, update, or erase your personal data; to restrict or object to processing; to data portability; to withdraw consent; to nominate another person to exercise your rights (India); and to complain to a regulator.

For Customer Data, we will pass your request to the relevant customer and help them respond. For data we control, write to queries@goveriq.com. We may need to verify your identity before acting. We will respond within the period the law requires, and in any case within 30 days.

16Grievance Officer (India)

In accordance with the Information Technology Act, 2000, the rules made under it, and the Digital Personal Data Protection Act, 2023, our Grievance Officer is:

Name Mounika Kunkupudi

Email queries@goveriq.com

Address GoverIQ (OPC) Private Limited, Visakhapatnam, Andhra Pradesh, India

We will acknowledge grievances promptly and resolve them within 30 days of receipt. If you are not satisfied, you may approach the Data Protection Board of India once it accepts complaints.

17EU, EEA, and UK Residents

Where the GDPR or UK GDPR applies, you may exercise the rights above and complain to your local supervisory authority. Where we act as processor, the customer is the controller and your request should go to them first.

18California Residents

We do not sell or share personal information for cross-context behavioural advertising. Where we act as a service provider, we process personal information only for the customer's business purposes. You may have rights to know, delete, and correct personal information, and not to be discriminated against for exercising them.

19Children

GoverIQ is a business service and is not directed at anyone under 18. We do not knowingly collect children's data. Customers must not submit children's data unless they are legally permitted to and have obtained verifiable parental consent where required.

20Changes to this Policy

We may update this Policy. We will post the new version here with a new "Last Updated" date and, for material changes, notify customers by email or in-app notice before they take effect.

Cookie Statement

Effective Date: October 11, 2026 · Last Updated: October 17, 2026

1Introduction

This Cookie Statement explains how GoverIQ (OPC) Private Limited ("GoverIQ") uses cookies and similar technologies on its website and platform.

Cookies are small files stored on your device. They help websites and applications work, remember preferences, and support security.

2Where We Use Cookies

The GoverIQ website (goveriq.com) sets no cookies. It stores two preferences in your browser's local storage: your light or dark theme, and your privacy choice. Those values never leave your device.

The GoverIQ platform, served on your organisation's own address (for example, acme.goveriq.com), uses only the cookies listed in Section 4, mainly for sign-in, single sign-on, and security.

3Types of Cookies We Use

3.1Strictly Necessary Cookies

These cookies are required for the platform to work: keeping you signed in, completing single sign-on, protecting forms against cross-site request forgery, and remembering a trusted device after multi-factor authentication. They cannot be switched off, because the platform cannot work without them.

3.2Functional Cookies

One functional cookie records whether you allow the platform to keep a local cache in your browser for faster loading. If you decline, the cache is cleared.

3.3Analytics and Marketing Cookies

GoverIQ does not use analytics, advertising, or marketing cookies, and does not use tracking or retargeting pixels. Only if you opt in, the website counts anonymous conversion events (for example, starting a trial, requesting a demo, or playing the launch film). These events carry the event name and page path, are sent only to GoverIQ, use no cookies or identifiers, and are not shared with third parties. Analytics is off until you choose otherwise, and a Global Privacy Control signal from your browser keeps it off.

3.4Third-Party Cookies

GoverIQ does not place third-party cookies. When you sign in through your organisation's identity provider (for example, Microsoft Entra ID or a SAML provider), that provider may set its own cookies under its own policy. GoverIQ does not control those cookies.

4Cookies in the Platform

5Cookie Consent

Strictly necessary cookies do not require consent. The platform asks before keeping a local browser cache, and you can change that choice at any time. The website asks before counting anonymous conversion events; you can accept, reject, or change that choice at any time under Cookie preferences in the website footer.

6How to Manage Cookies

You can delete or block cookies in your browser or device settings. Blocking strictly necessary cookies will stop you from signing in to the platform.

7Updates to this Cookie Statement

We will update this Cookie Statement before we add, remove, or change cookies or similar technologies, and revise the "Last Updated" date above.

Terms of Service

Effective Date: October 11, 2026 · Last Updated: October 17, 2026

1Agreement and Acceptance

These Terms of Service ("Terms") are a binding agreement between GoverIQ (OPC) Private Limited, a company incorporated in India with its registered office in Visakhapatnam, Andhra Pradesh, India (CIN: U63119AP2026OPC128441) ("GoverIQ", "we", "us"), and the organisation that accesses or uses the Service ("Customer", "you").

By signing an order form, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of an organisation, you confirm that you have authority to bind it. If you do not agree, do not use the Service.

The Service is for business use only. It is not offered to consumers, and you confirm that you are not using it as a consumer.

Order of precedence: if documents conflict, this order applies: (a) a signed master agreement; (b) the order form; (c) any signed data processing agreement, for data protection matters; (d) these Terms; (e) product documentation.

2Definitions

"Service" means the GoverIQ platform, APIs, connectors, agents, and related support, as described in the order form.

"Order Form" means a document or online order, signed or accepted by both parties, that sets out the modules, quantities, term, and fees.

"Customer Data" means data submitted to, connected with, or processed through the Service by or for the Customer.

"Authorised Users" means the Customer's employees, contractors, auditors, and agents whom the Customer permits to use the Service.

"Entitlement" means a premium module licensed per organisation in an Order Form, in addition to the modules included in every plan.

"Beta Features" means features marked beta, preview, experimental, or early access.

3The Service

GoverIQ is an Identity Governance and Administration platform covering identity lifecycle, access requests and approvals, roles, groups and entitlements, SoD and risk, certifications, policies, integrations, workflows, monitoring, audit evidence, and AI-assisted and agent-based automation.

Every plan includes the IGA and IAM modules and their connector set. Entitlements, including additional automation connectors and premium modules, are available only if listed in an Order Form. The Customer may use only what it has licensed, within the quantities in the Order Form.

4Licence and Restrictions

Subject to these Terms and payment of fees, GoverIQ grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term for its Authorised Users to use the Service for the Customer's internal business purposes.

The Customer must not, and must not allow anyone to:

  • copy, modify, translate, or create derivative works of the Service;
  • reverse engineer, decompile, or try to discover source code, except to the extent the law expressly permits despite this restriction;
  • sell, resell, rent, lease, sublicense, or provide the Service to third parties, or use it as a service bureau;
  • access the Service to build a competing product, or publish benchmarks without our written consent;
  • circumvent usage limits, licence controls, security, or tenant isolation;
  • scrape or extract data from the Service other than through documented exports and APIs.

5Accounts and Authorised Users

The Customer is responsible for: keeping account information accurate; managing administrators and Authorised Users; protecting credentials; configuring roles and permissions in the Service; and all activity under its tenant, whether or not authorised by it. The Customer must notify us promptly at queries@goveriq.com of any suspected unauthorised access.

6Acceptable Use

The Customer must not use the Service to: break any law or regulation; infringe anyone's rights; upload malicious code; attempt unauthorised access to any system; overload or disrupt the Service; process data it has no right to process; carry out unlawful surveillance or discrimination; or interfere with other customers.

7Customer Data and Data Protection

The Customer owns Customer Data. GoverIQ does not claim ownership of it and will not sell it.

GoverIQ processes Customer Data only to provide and secure the Service, provide support the Customer requests, and comply with law, in line with our Privacy Policy and any data processing agreement. The Customer is the controller (or Data Fiduciary) and GoverIQ is the processor (or Data Processor).

The Customer is responsible for: having the right and a lawful basis, including any notice and consent, to provide Customer Data and to process it through the Service; the accuracy and quality of Customer Data; and responding to requests from individuals about Customer Data.

GoverIQ may collect and use usage and performance data about the Service, and may create aggregated data that does not identify the Customer or any individual, to operate, secure, and improve the Service.

8Configuration Is the Customer's Responsibility

GoverIQ executes integrations, field mappings, workflows, provisioning, and deprovisioning exactly as the Customer configures and approves them. The Customer is responsible for:

  • providing valid, authorised, least-privilege credentials for connected systems, and rotating and revoking them;
  • confirming that connected systems allow the integration and that the permissions granted to GoverIQ are appropriate;
  • reviewing field mappings, create, read, update, and delete rules, and transformation logic;
  • designing workflows, approval routes, escalations, and policies that match its own requirements;
  • testing every configuration in a non-production environment before enabling it in production.

GoverIQ is not liable for the consequences of access granted, changed, or removed, or of data changed in a connected system, because of the Customer's configuration, approvals, instructions, or credentials.

9Governance Outputs Are Decision Support

Certifications, SoD analysis, risk scores, policy checks, recommendations, and reports are tools that support the Customer's decisions. GoverIQ does not make access, employment, compliance, or audit decisions for the Customer. The Customer remains responsible for final access decisions, remediation, compliance conclusions, and what it submits to auditors or regulators.

10AI and Agent Features

AI outputs are generated automatically and may be incomplete or inaccurate. The Customer must review AI outputs before relying on them, especially for compliance, security, legal, employment, or disciplinary decisions. GoverIQ is not liable for decisions or actions taken in reliance on AI outputs.

Agents act only within the permissions the Customer grants them, and their actions are recorded in the audit trail. The Customer is responsible for reviewing agent permissions, testing agent behaviour, approving production use, and monitoring agent actions.

11Trials and Beta Features

Trials, demos, proofs of concept, and Beta Features are provided free of charge or as stated, "as is", without any warranty, support commitment, or service level, and GoverIQ has no liability for them to the extent the law allows. They may be changed or withdrawn at any time. Beta Features must not be used for critical production processes unless GoverIQ agrees in writing. Data in a trial tenant may be deleted after the trial ends unless the Customer subscribes.

Self-serve trials: a trial runs for the number of days shown at sign-up, which is never more than 14 days unless GoverIQ extends it. The trial workspace locks when the trial ends, or earlier if no one signs in for 10 days, and GoverIQ deletes the workspace and its data 10 days after it locks. A trial is for evaluation only: it may run only the workflow templates GoverIQ provides, and the restrictions in Section 4 apply in full. Trial screens carry a watermark identifying the user, and attempts to inspect, capture, or copy the Service may be recorded in the trial audit trail. The contact and company details given at sign-up are kept so that GoverIQ can follow up about the trial, as described in the Privacy Policy.

12Third-Party Services

The Service connects to third-party systems that the Customer chooses, such as identity providers, HR systems, cloud platforms, and business applications. They are governed by their own terms. GoverIQ is not responsible for their availability, security, data handling, API changes, rate limits, pricing, or behaviour, or for failures they cause.

13Fees, Taxes, and Payment

Fees, currency, billing frequency, and payment terms are set out in the Order Form. Prices shown on the GoverIQ website are indicative and may change. Only the Order Form is binding.

Unless the Order Form says otherwise: invoices are due within 30 days; fees are non-cancellable and non-refundable except as these Terms expressly provide; and fees exclude GST and all other taxes, which the Customer will pay, except taxes on GoverIQ's income. If the Customer must withhold tax, it will gross up the payment or provide valid withholding certificates promptly so that GoverIQ can claim credit.

Overdue amounts carry interest at 1% per month, or the maximum the law permits if lower, from the due date until paid. GoverIQ may adjust fees at renewal with at least 30 days' notice.

14Availability, Support, and Changes

Availability targets, support hours, and any service credits apply only if stated in an Order Form or service level agreement. Service credits, where offered, are the Customer's sole remedy for unavailability.

GoverIQ may perform scheduled and emergency maintenance. GoverIQ may change the Service, but will not materially reduce the core functionality of a licensed module during a paid subscription term.

15Security

GoverIQ maintains reasonable technical and organisational security measures appropriate to an enterprise service, as described in the Privacy Policy. Security is shared: the Customer must secure its users, identity provider, credentials, connected systems, networks, and configuration. GoverIQ is not responsible for incidents caused by compromised Customer credentials, Customer configuration, or Customer-connected systems.

16Suspension

GoverIQ may suspend access, in whole or in part, if: undisputed fees remain unpaid 15 days after notice; there is a security threat to the Service or other customers; the Customer breaches Sections 4 or 6; or the law requires it. Where practical, we will give notice first and restore access promptly once the cause is resolved. Fees remain payable during suspension.

17Term and Termination

These Terms apply for as long as the Customer uses the Service. Each subscription runs for the term in its Order Form and renews for the same period unless either party gives notice of non-renewal at least 30 days before the end of the term.

Either party may terminate for material breach that is not cured within 30 days of written notice, or immediately if the other party becomes insolvent, enters liquidation, or ceases business.

On termination, all licences end, the Customer must stop using the Service, and all unpaid fees become due. If the Customer terminates for GoverIQ's uncured material breach, GoverIQ will refund prepaid fees for the unused part of the term.

18Data Export and Deletion

For 30 days after termination, the Customer may export Customer Data using the Service's export features. After that, GoverIQ will delete Customer Data from active systems within 90 days. Copies in backups are deleted as the backups expire. GoverIQ may keep data where the law requires, and will keep it confidential and secure.

19Confidentiality

Each party will use the other's confidential information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and advisers who need to know it and are bound by confidentiality. Confidential information does not include information that is or becomes public without fault, was already known, is independently developed, or is lawfully received from a third party. Disclosure required by law is allowed after prompt notice to the other party, where lawful. These obligations last for 5 years after termination, and indefinitely for trade secrets and Customer Data.

20Intellectual Property and Feedback

GoverIQ and its licensors own all rights in the Service, including software, source code, designs, connectors, workflow templates, documentation, trademarks, and improvements. Nothing in these Terms transfers those rights to the Customer, and all rights not expressly granted are reserved. "GoverIQ" and the GoverIQ logo are trademarks of GoverIQ (OPC) Private Limited; the Customer may not use them without prior written consent, except to refer accurately to the Service.

If the Customer gives feedback or suggestions, GoverIQ may use them freely, without obligation or compensation.

21Warranties

Each party warrants that it has authority to enter into these Terms.

GoverIQ warrants that, during a paid subscription term, the Service will perform materially as described in its documentation. If it does not, and the Customer notifies us in writing with details, GoverIQ will use reasonable efforts to correct it. If we cannot within 30 days, the Customer may terminate the affected module and receive a refund of prepaid fees for the unused term. This is the Customer's sole and exclusive remedy for breach of this warranty.

22Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and GoverIQ disclaims all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent the law allows.

GoverIQ does not warrant that the Service will be uninterrupted or error-free, that AI outputs will be accurate, that third-party integrations will remain available, or that use of the Service will make the Customer compliant with any law, regulation, standard, or audit requirement.

The Service is not designed for use where failure could lead to death, personal injury, or severe environmental damage.

23Limitation of Liability

To the fullest extent the law allows, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or anticipated savings, or loss or corruption of data except as caused by that party's breach of its security obligations, however caused and even if advised of the possibility.

To the fullest extent the law allows, each party's total aggregate liability arising out of or relating to these Terms and the Service is limited to the fees actually paid by the Customer to GoverIQ in the 12 months before the event giving rise to the first claim. For free use, including trials, GoverIQ's total liability is limited to INR 10,000.

These limits do not apply to: the Customer's obligation to pay fees; the Customer's breach of Sections 4 or 6; a party's indemnification obligations; or liability that cannot be limited by law.

24Indemnification

The Customer will defend and indemnify GoverIQ, its directors, employees, and agents against third-party claims, and the resulting losses, damages, fines, and reasonable legal costs, arising from: Customer Data, including the Customer's lack of rights or lawful basis to process it; the Customer's or its Authorised Users' use of the Service in breach of these Terms or the law; or the Customer's configurations, workflows, approvals, agents, and integrations, and their effects in connected systems.

Any indemnity from GoverIQ for third-party intellectual property claims applies only if set out in a signed agreement, and on the conditions stated there.

The indemnified party must promptly notify the indemnifying party, give it sole control of the defence and settlement (no settlement may impose liability on the indemnified party without consent), and provide reasonable cooperation at the indemnifying party's cost.

25Compliance

The Customer is responsible for deciding whether its use of the Service meets the laws, regulations, standards, and internal policies that apply to it. Compliance report templates support the Customer's audits. They are not certifications and do not guarantee any audit outcome. Each party will comply with anti-bribery, export control, and sanctions laws that apply to it.

26Publicity

GoverIQ will not use the Customer's name or logo publicly without the Customer's prior written consent.

27Force Majeure

Neither party is liable for delay or failure to perform, other than payment obligations, caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, government action, and failures of the internet, hosting, utility, or telecommunications providers, or cyber attacks that could not reasonably have been prevented. If such an event lasts more than 60 days, either party may terminate the affected Order Form on notice.

28Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws rules.

The parties will first try to resolve any dispute through good-faith negotiation between senior representatives for 30 days after written notice of the dispute.

Disputes not resolved this way will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement, under that Act. The seat and venue of arbitration is Visakhapatnam, Andhra Pradesh, India. The language is English. The award is final and binding.

Subject to arbitration, the courts at Visakhapatnam, Andhra Pradesh, have exclusive jurisdiction. Either party may seek urgent interim or injunctive relief from any competent court to protect its confidential information or intellectual property.

29Notices

Legal notices must be in writing and sent by email to queries@goveriq.com (for GoverIQ) or to the Customer's administrator or billing contact (for the Customer), with a copy by courier or registered post to the address in the Order Form. Notices are effective on receipt. Operational notices may be given in the Service.

30Electronic Record

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not need a physical or digital signature to be binding.

31General

Entire agreement: these Terms and the documents listed in Section 1 are the entire agreement on their subject matter and replace all earlier proposals, statements, and representations, including content on the GoverIQ website and in marketing material. Terms in the Customer's purchase orders or vendor portals do not apply, even if accepted electronically.

Severability: if any provision is held unenforceable, the rest remains in effect, and that provision is enforced to the maximum extent permitted.

No waiver a failure or delay in exercising any right is not a waiver of it.

Assignment: the Customer may not assign or transfer these Terms without GoverIQ's prior written consent. GoverIQ may assign them to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Subcontracting GoverIQ may use subcontractors and subprocessors and remains responsible for their performance.

Independent parties nothing creates a partnership, joint venture, agency, fiduciary, or employment relationship.

No third-party rights: no one other than the parties may enforce these Terms.

Survival Sections 4, 7, 8, 9, 13, 18 to 24, 28, and 31, and any clause that by its nature should survive, survive termination.

32Changes to these Terms

GoverIQ may update these Terms. We will post the new version here with a new "Last Updated" date and notify customers of material changes at least 30 days in advance by email or in-app notice. Changes apply from the Customer's next renewal, unless the Customer accepts them earlier or they are required by law. A signed agreement can only be changed in writing by both parties.
